ข้อตกลงและเงื่อนไขการใช้บริการ

1. คำจำกัดความ / Definitions

ข้อตกลงฉบับนี้จัดทำขึ้นระหว่าง บริษัท ไบต์เมทริกซ์ จำกัด (“ผู้ให้บริการ”)และบุคคลธรรมดาหรือนิติบุคคลใดๆ ที่เข้าใช้งานเว็บไซต์ สมัครบัญชีระบบ หรือลงนามในสัญญาจ้างเหมาไอทีเพื่อใช้งานซอฟต์แวร์ (“ผู้ใช้บริการ”)

This Agreement is entered into by and between ByteMatrix Co., Ltd. (“the Provider”)and any individual or legal entity accessing this website, creating system accounts, or entering into contracts for software development and IT services (“the Client”).

2. ขอบข่ายบริการและสัญญาจ้าง / Scope of Services

ไบต์เมทริกซ์ ให้บริการในด้านการออกแบบ พัฒนา ติดตั้ง ปรับปรุงแก้ไข และบำรุงรักษาซอฟต์แวร์ โปรแกรมคอมพิวเตอร์ เว็บไซต์ แพลตฟอร์ม โครงสร้างพื้นฐานคลาวด์ บริการเช่าซื้อเซิร์ฟเวอร์ และการขนส่งพัสดุผ่านตัวแทนแพลตฟอร์ม (Delivery Platform Intermediary) รายละเอียดและข้อกำหนดจำเพาะเจาะจงจะระบุไว้ใน ใบเสนอราคา (Quotation) หรือ สัญญาจ้างทำของ (Service Agreement) ที่จัดทำขึ้นต่างหากเป็นกรณีไป

ByteMatrix provides custom software design, development, deployment, maintenance, cloud infrastructure services, server rentals, and digital logistics dispatch intermediary platforms. Specific service requirements will be governed by dedicated Quotations or Service Agreements signed separately between the parties.

3. ทรัพย์สินทางปัญญา / Intellectual Property

ซอร์สโค้ด (Source Code) สถาปัตยกรรมระบบ การออกแบบหน้าจอ (UI/UX) และสิทธิบัตรซอฟต์แวร์ทั้งหมดที่สร้างขึ้นโดยผู้ให้บริการสำหรับการให้บริการทั่วไป ถือเป็นทรัพย์สินทางปัญญาของผู้ให้บริการโดยเด็ดขาด สำหรับโครงการจ้างพัฒนาซอฟต์แวร์ตามความต้องการ สิทธิความเป็นเจ้าของซอร์สโค้ดจะถูกโอนย้ายไปยังผู้ใช้บริการตามข้อกำหนดที่ระบุเป็นลายลักษณ์อักษรในสัญญาหลัก

All source code, software architectures, UI/UX designs, and software licenses created by the Provider for general services remain the exclusive intellectual property of the Provider. For custom software development projects, ownership of the resulting source code shall be transferred to the Client only as explicitly agreed upon in writing in the main contract.

4. ข้อจำกัดความรับผิดชอบ / Limitation of Liability

บริษัทฯ ออกแบบสถาปัตยกรรมซอฟต์แวร์ตามมาตรฐานวิศวกรรมไอทีที่ดีที่สุด อย่างไรก็ตาม เราจะไม่รับผิดชอบต่อความสูญหายของข้อมูล (Data Loss) หรือการหยุดชะงักของระบบการทำงาน (System Downtime) ที่เกิดจากระบบเซิร์ฟเวอร์ภายนอกที่ผู้ใช้บริการเลือกเอง เหตุสุดวิสัยทางระบบเครือข่าย หรือการแก้ไขดัดแปลงซอร์สโค้ดโดยไม่ได้รับอนุญาตล่วงหน้า

While we design software to the highest engineering standards, the Company shall not be held liable for any data loss or system downtime caused by external servers selected by the Client, internet infrastructure failures, or unauthorized modifications made to the source code.

5. กฎหมายที่ใช้บังคับ / Governing Law

ข้อตกลงและเงื่อนไขการใช้บริการนี้ ให้ตีความและอยู่ภายใต้บังคับแห่งกฎหมายของ ราชอาณาจักรไทย ข้อพิพาทใดๆ ที่เกิดขึ้นจะต้องถูกส่งให้ศาลในประเทศไทยเป็นผู้พิจารณาตัดสิน

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising out of this agreement shall be submitted to the courts of Thailand.
